1. Acceptance of Terms

By accessing or using FilingDrift (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Latent Systems SAS, a French SAS.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

FilingDrift provides automated analysis of publicly available SEC annual filings (Form 10-K) from the U.S. Securities and Exchange Commission's EDGAR database. The Service computes linguistic anomaly scores based on changes in filing language between consecutive years, relative to a corpus of peer companies.

The Service does not provide: stock picks, price targets, investment recommendations, or financial advice of any kind.

3. Not Investment Advice

The scores, signals, and analysis provided by FilingDrift are for informational and research purposes only. They do not constitute investment advice, financial advice, trading advice, or any other type of advice.

Latent Systems SAS is not a registered investment adviser in France, the EU, or any other jurisdiction. The Service is not regulated by the AMF (Autorité des marchés financiers) or any other financial regulatory authority.

Past results (including the detection of historical distress events) do not guarantee future accuracy. Corporate filings can be incomplete, misleading, or subject to revision. Scores may not reflect actual financial condition.

4. Acceptable Use

You may use the Service for personal research, academic analysis, or professional due diligence, subject to these Terms. You may not:

  • Reproduce or redistribute the Service's data or scores for commercial purposes without written permission
  • Use automated tools (bots, scrapers) to extract data at scale
  • Attempt to reverse-engineer the scoring algorithm
  • Use the Service in any way that violates applicable law

5. Data Sources

All filing data is sourced from SEC EDGAR (sec.gov/edgar), which is a public U.S. government database. Use of EDGAR data is subject to the SEC's terms and policies. Latent Systems SAS makes no warranty as to the accuracy, completeness, or timeliness of EDGAR data.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Latent Systems SAS shall not be liable for any loss or damage (direct, indirect, incidental, consequential, or otherwise) arising from:

  • Reliance on any score, signal, or analysis provided by the Service
  • Investment decisions made based on the Service
  • Errors, omissions, or inaccuracies in the data
  • Service interruptions or downtime

7. Governing Law

These Terms are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of the courts of France.

8. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will indicate the last updated date at the top of this page.
